These Terms of Service govern your use of DigiHostLab's website and services. By engaging with our services or accessing our website, you agree to be bound by these Terms. Please read them carefully before proceeding.
1. Introduction & Acceptance
Welcome to DigiHostLab. These Terms of Service ("Terms") govern your access to and use of the DigiHostLab website (digihostlab.com) and all related services provided by PT DIGI KARYA HARMONI, operating under the brand name DigiHostLab ("we," "our," or "us").
By accessing our website, submitting a project inquiry, entering into a service agreement, or engaging with any of our digital services, you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.
If you are agreeing to these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and in such case, "you" refers to that entity.
We reserve the right to update, change, or replace any part of these Terms at any time. It is your responsibility to check this page periodically for changes. Your continued use of our website or services following the posting of any changes constitutes acceptance of those changes.
2. Services Provided
DigiHostLab is a premium digital agency offering the following core services:
Web Design & UI/UX Design Pixel-perfect interface design including wireframing, prototyping, design systems, and final visual design deliverables.
Web Development Full-stack web application development using modern frameworks including Next.js, React, TypeScript, and related technologies. Includes front-end development, back-end integration, API development, and deployment.
Mobile Application Development Cross-platform and native mobile application development for iOS and Android platforms using React Native and related technologies.
Brand Identity & Strategy Brand strategy consulting, logo design, visual identity systems, brand guidelines, and positioning strategy.
Digital Strategy & Consulting Digital transformation advisory, product strategy consulting, technical architecture planning, and go-to-market strategy.
Hosting & Domain Services Web hosting setup, domain registration assistance, server configuration, and ongoing technical maintenance where applicable.
The scope, deliverables, timeline, and pricing for each engagement are defined in a separate Project Agreement or Statement of Work (SOW) that both parties must agree to in writing before project commencement.
3. Project Engagement & Process
Project Initiation All projects begin with a consultation to understand your requirements. Following this, DigiHostLab will prepare a formal Project Proposal or Statement of Work (SOW) outlining the project scope, deliverables, timeline, payment terms, and total cost. A project is officially commenced upon your written acceptance of the SOW and receipt of the agreed deposit payment.
Client Responsibilities You agree to: (a) provide timely, accurate, and complete information required for project completion; (b) designate an authorized point of contact for approvals and feedback; (c) review and provide feedback on deliverables within the agreed review windows; and (d) ensure that all content, materials, and assets you provide do not infringe upon any third-party intellectual property rights.
Revisions & Change Requests Each project includes a defined number of revision rounds as specified in the SOW. Requests for changes outside the agreed scope — including additional features, design changes, or expanded deliverables — will be treated as Change Requests, which may result in additional costs and timeline adjustments. All Change Requests must be agreed upon in writing before implementation.
Project Timeline Timelines are estimated based on project complexity and mutual availability. Delays caused by late content delivery, extended feedback periods, or scope changes from the client's side may result in timeline adjustments. DigiHostLab will notify you promptly of any anticipated delays on our side.
4. Payment Terms & Fees
Payment Schedule Unless otherwise specified in the SOW, payment is structured as follows: ·50% deposit payment required before project commencement ·50% final payment upon project completion and before final delivery/handover
For larger projects, a milestone-based payment schedule may be agreed upon and specified in the SOW.
Payment Methods Accepted payment methods include bank transfer to our designated account. Details will be provided in the invoice issued for each payment. International payments may be subject to applicable bank transfer fees.
Currency All prices are quoted in Indonesian Rupiah (IDR) unless otherwise specified in the SOW. For international clients, USD pricing may be agreed upon in writing.
Late Payments Invoices are due within 7 (seven) business days of issuance unless otherwise agreed. Late payments may result in: (a) suspension of active project work until payment is received; (b) a late fee of 2% per month on outstanding amounts; and (c) in cases of extended non-payment, termination of the agreement.
Refund Policy The initial deposit is non-refundable once project work has commenced, as it covers time, planning, research, and initial design/development efforts. Refunds for milestone payments are subject to the terms outlined in the SOW. If DigiHostLab fails to deliver agreed services without cause, a pro-rated refund may be issued at our discretion.
5. Intellectual Property Rights
Client-Owned Assets Upon receipt of full payment for a completed project, DigiHostLab assigns to you all rights, title, and interest in and to the final deliverables produced specifically for your project, including source files, designs, and code (where applicable), to the extent permitted by the agreements below.
DigiHostLab Retained Rights DigiHostLab retains ownership of: (a) all pre-existing intellectual property, tools, frameworks, libraries, and methodologies used or developed by DigiHostLab prior to or independently of your project; (b) general development processes, know-how, and internal tools; and (c) any open-source components used within the project (which remain subject to their respective open-source licenses).
Portfolio & Marketing Rights You grant DigiHostLab a non-exclusive, royalty-free license to display your project as part of our portfolio, marketing materials, social media, and case studies unless explicitly prohibited in writing in the SOW. We will always credit the project appropriately.
Third-Party Assets You are responsible for obtaining licenses for any third-party assets (stock photography, fonts, icons, plugins) incorporated into your project. DigiHostLab will notify you of any third-party licensing requirements as part of the project process.
Client Content You represent and warrant that any content, materials, trademarks, logos, or other assets you provide to DigiHostLab for use in your project do not infringe any third-party intellectual property rights.
6. Confidentiality
Both parties acknowledge that during the course of the engagement, each may have access to confidential information of the other party, including but not limited to business strategies, product plans, financial information, client lists, technical data, and project details ("Confidential Information").
Obligations Each party agrees to: (a) hold the other party's Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party without prior written consent; and (c) use the Confidential Information solely for the purposes of performing obligations under the project agreement.
Exclusions Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was rightfully known by the receiving party before disclosure; or (c) is required to be disclosed by applicable law or court order.
Duration Confidentiality obligations remain in effect during the project engagement and for a period of 2 (two) years following its completion or termination.
DigiHostLab treats all client project information with the utmost discretion and professionalism. We do not share client business details, project briefs, or proprietary information with third parties except as required to deliver your project.
7. Warranties & Representations
DigiHostLab Warranties DigiHostLab warrants that: (a) we have the right and authority to enter into agreements for the services described; (b) the services will be performed in a professional and workmanlike manner; (c) to our knowledge, original work delivered will not infringe upon any third-party intellectual property rights.
Post-Delivery Warranty Period DigiHostLab provides a 30 (thirty) day warranty period following final project delivery during which we will fix, at no additional charge, any bugs or defects that are directly attributable to errors in our work and fall within the original agreed scope.
This warranty does not cover: (a) issues arising from client modifications or third-party modifications; (b) compatibility issues resulting from software updates after final delivery; (c) new feature requests or scope expansions; or (d) issues arising from third-party services, APIs, or hosting environments not managed by DigiHostLab.
Client Warranties You represent and warrant that: (a) you have the authority to enter into this agreement; (b) all content and materials you provide are either owned by you or properly licensed; and (c) your use of our deliverables will comply with all applicable laws and regulations.
Disclaimer of Warranties Except as expressly stated herein, DigiHostLab provides all services "as is" and makes no other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.
8. Limitation of Liability
To the maximum extent permitted by applicable law, DigiHostLab's total liability to you for any claim arising from or related to these Terms or any services provided shall not exceed the total amount paid by you to DigiHostLab for the specific project giving rise to such claim.
Exclusion of Consequential Damages In no event shall DigiHostLab be liable for any: (a) indirect, incidental, or consequential damages; (b) loss of profits, revenue, or business opportunities; (c) loss of data or data breaches caused by third-party hosting providers; (d) damages resulting from unauthorized access to your systems; or (e) delays caused by factors outside our reasonable control.
Force Majeure DigiHostLab shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, power outages, internet service disruptions, or other force majeure events. We will promptly notify you of any such circumstances and work in good faith to minimize delays.
Third-Party Services DigiHostLab is not responsible for the performance, availability, or security of third-party services, platforms, APIs, or hosting providers that are integrated into or used by your project.
9. Termination
Termination by Client You may terminate a project engagement at any time by providing written notice to DigiHostLab. In the event of client-initiated termination: (a) all work completed to date will be invoiced at our standard hourly rate or as a pro-rated portion of the project value; (b) the deposit is non-refundable; and (c) any unused portion of milestone payments for work not yet commenced may be refunded at DigiHostLab's discretion.
Termination by DigiHostLab DigiHostLab reserves the right to terminate a project engagement with written notice in the event that: (a) you breach any material term of these Terms or the SOW; (b) payment obligations are not met within 14 days of the due date; (c) you engage in conduct that is abusive, threatening, or unlawful toward DigiHostLab staff; or (d) the project scope has changed so significantly that continued engagement is not commercially viable.
Effects of Termination Upon termination: (a) all outstanding fees for work performed become immediately due; (b) DigiHostLab will provide you with deliverables completed to date in their current state; and (c) intellectual property rights in completed and paid-for work will transfer to you as specified in Section 5.
10. Prohibited Uses
By using our website and services, you agree that you will not:
·Use our services to create content that is illegal, defamatory, obscene, or infringes upon any third party's rights ·Attempt to engage DigiHostLab for projects related to illegal activities, fraud, deception, or harm to others ·Misrepresent your identity, authority, or the nature of your project during the engagement process ·Reverse-engineer, copy, or replicate DigiHostLab's proprietary methodologies, tools, or processes ·Use our website in any manner that could disable, overburden, or impair the site or interfere with any other party's use ·Attempt to gain unauthorized access to any portion of our systems or servers ·Engage in any conduct that harasses, intimidates, or discriminates against DigiHostLab staff or representatives ·Use outputs or deliverables produced by DigiHostLab in a manner that violates applicable laws, including copyright, trademark, or privacy laws
11. Governing Law & Dispute Resolution
Governing Law These Terms and any project agreements shall be governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to its conflict of law provisions.
Informal Resolution In the event of any dispute, controversy, or claim arising out of or relating to these Terms or any project engagement, both parties agree to first attempt to resolve the matter through good-faith negotiation. Either party may initiate this process by providing written notice to the other party describing the dispute in reasonable detail.
Formal Dispute Resolution If the parties cannot resolve a dispute through informal negotiation within 30 (thirty) days, either party may pursue resolution through the competent courts of the Republic of Indonesia, with jurisdiction agreed to be in the courts of Jawa Tengah.
No Class Actions Any disputes must be resolved on an individual basis. You agree not to participate in a class action lawsuit or class-wide arbitration against DigiHostLab.
12. General Provisions
Entire Agreement These Terms, together with any applicable Project Agreement or SOW, constitute the entire agreement between you and DigiHostLab regarding the subject matter herein and supersede all prior agreements, representations, or understandings.
Severability If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver Failure by DigiHostLab to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment You may not assign or transfer your rights or obligations under these Terms without our prior written consent. DigiHostLab may assign its rights and obligations in connection with a merger, acquisition, or sale of assets.
Notices All formal notices under these Terms must be provided in writing to support@digihostlab.com or via registered mail to our registered address.
